Terms of Use

These Terms apply to the hosted LabFrame service. If your company, university, national lab, or other institution needs a separate order form, DPA, security review, or procurement package, contact contact@labframe.ai.

1. Acceptance and scope

These Terms of Use govern access to and use of LabFrame, including the hosted application, agent workspaces, virtual machines, APIs, model integrations, and related support services (collectively, the "Service"). By creating an account, signing in, or using the Service, you agree to these Terms.

If you use the Service on behalf of an employer, university, national laboratory, government entity, or other organization, you represent that you have authority to bind that organization. If a separate written agreement between your organization and LabFrame covers the Service, that agreement controls to the extent it conflicts with these Terms.

2. Eligibility and organizational use

You must be legally able to enter into a binding agreement and must use the Service only for lawful business, academic, scientific, or related research purposes. You may not use the Service if you are barred from receiving it under applicable law.

Organizations are responsible for ensuring that their personnel, contractors, students, and collaborators use the Service in a manner consistent with internal policies, funding restrictions, publication rules, and any applicable ethics or review-board requirements.

3. Service description

LabFrame is a research platform that provides persistent AI agents with their own Linux workspaces, tools, memory, and collaboration features. Teams use the Service to search sources, review papers, analyze data, write code, generate reports, and produce research artifacts.

The Service is designed for research groups at companies, universities, national labs, and similar organizations. Features may include billing controls, shared workspaces, downloadable artifacts, and integrations with third-party model providers and search tools.

4. Research outputs and human review

The Service uses probabilistic AI systems and external information sources. Outputs may be incomplete, inaccurate, out of date, biased, or unsuitable for your intended purpose. You remain responsible for evaluating and validating all outputs before relying on them.

You must apply qualified human review before using outputs in publications, grant proposals, investor materials, regulatory submissions, experiments, safety-critical decisions, or other consequential contexts. Responsibility for citations, code quality, reproducibility, compliance, and disclosure remains with you and your organization.

5. Accounts and security

To use LabFrame, you must authenticate using the methods made available in the Service, such as Google sign-in or email magic links. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

  • Provide accurate account information and keep it current.
  • Use only accounts and domains that you are authorized to use for the relevant research activity.
  • Notify us promptly if you believe your account or a shared workspace has been compromised.
  • Do not share credentials, bypass security controls, or attempt to impersonate another user.

6. Acceptable use

You may not use the Service to:

  • Violate applicable law, regulation, contract, institutional policy, or third-party rights.
  • Develop or distribute malware, unauthorized exploits, or content intended to compromise systems, credentials, or data.
  • Abuse compute resources through cryptocurrency mining, unrelated batch rendering, spam, or other non-research workloads.
  • Submit content that you do not have the right to use, access, or disclose.
  • Circumvent rate limits, billing controls, sandbox restrictions, access controls, or any other platform safeguard.
  • Interfere with the stability, security, or availability of the Service or other customer environments.

7. Data handling and confidentiality

You retain responsibility for the content, datasets, code, prompts, and files that you or your collaborators submit to the Service. You may upload only content that you are authorized to process and share through the Service.

Shared workspaces, conversations, and artifacts may be visible to invited collaborators and authorized members of your team. If your use case requires additional contractual terms, vendor review, or data handling commitments, contact us before uploading that content.

8. Billing, subscriptions, and credits

LabFrame uses subscriptions and top-up credits to pay for metered usage, including compute runtime, AI inference, search, and related billable actions. Unless a separate written agreement states otherwise:

  • Fees are charged in advance for subscription periods and are generally non-refundable except as required by law.
  • Credits are a usage mechanism for the Service, are not legal tender, and have no cash value outside the Service.
  • Usage may be blocked when an account or workspace has no active plan or insufficient credits for new paid actions.
  • Payment processing is handled by Stripe, and use of Stripe-backed checkout or billing portal features is also subject to Stripe's terms.
  • We may update pricing or packaging with reasonable advance notice.

9. Intellectual property and feedback

As between you and LabFrame, you retain whatever rights you hold in your inputs, files, datasets, code, and other submitted content. Subject to applicable law and third-party provider terms, you may use outputs generated for you through the Service.

LabFrame and its licensors retain all rights in the Service itself, including software, interfaces, documentation, branding, and underlying platform technology. These Terms do not grant you any license to use LabFrame's trademarks except as necessary to use the Service as provided.

If you provide feedback, bug reports, or product suggestions, we may use them without restriction or compensation.

10. Third-party services and AI providers

The Service relies on third-party providers for infrastructure, authentication, billing, search, and AI inference. Prompts, files, workspace context, and related metadata may be sent to those providers as needed to operate requested features.

Third-party services are subject to their own terms, privacy practices, uptime, and operational constraints. We are not responsible for outages, content restrictions, pricing changes, or policy changes imposed by those providers.

11. Availability, support, and changes

We aim to keep the Service available and useful, but the hosted service is provided on a best-effort basis unless a separate written agreement states otherwise. Sandboxes may be paused, restarted, recreated, or suspended for maintenance, upgrades, or incident response.

We may add, remove, or modify features from time to time, including beta or preview functionality. We may also update these Terms with reasonable notice by posting an updated version on the site or through the Service.

12. Restricted data and export controls

Unless we expressly agree otherwise in writing, do not use the hosted service for classified information, export-controlled technical data, sanctioned-party activity, or other restricted information that requires controls beyond the service described on this site.

You are responsible for ensuring that your use of the Service, your uploads, and your collaborators comply with applicable export control, sanctions, procurement, and research-security rules.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." LabFrame disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, secure against every threat, or suitable for every research domain, funding requirement, or institutional compliance regime.

14. Limitation of liability

To the maximum extent permitted by law, LabFrame and its operators, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, publications, grant opportunities, or research outcomes arising from or related to the Service.

Our aggregate liability for claims arising out of or related to the Service will not exceed the amounts paid by you or your organization to LabFrame for the Service in the twelve (12) months preceding the event giving rise to the claim.

15. Suspension, termination, and survival

You may stop using the Service at any time. We may suspend or terminate access immediately if we reasonably believe there has been a security issue, legal violation, payment failure, abuse, or material breach of these Terms.

Following termination, we ordinarily provide a limited opportunity to export remaining workspace data before deletion, unless we are required to remove access sooner for legal, contractual, or security reasons. Sections that by their nature should survive termination will survive, including provisions on payment obligations, intellectual property, disclaimers, liability, and dispute-related matters.
